These Terms of Service ("Terms") govern your use of the Sunforce application ("Service"), operated by Sunforce, a trading name operating under the laws of England and Wales ("we", "us", "our"). By installing or using Sunforce, you agree to these Terms.

1. Service Description

Sunforce is an AI-powered financial intelligence tool for Shopify merchants. It provides profitability analysis, expense tracking, financial forecasting, and AI-driven insights through a conversational interface. The Service is designed to assist with financial management but is not a substitute for professional accounting, tax, or financial advice.

2. Eligibility

You must have an active Shopify store to use Sunforce. You must have the authority to install apps on your Shopify account and to grant the data access permissions required by the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account & Access

• Access is managed through Shopify's authentication system
• You are responsible for maintaining the security of your Shopify account
• Each Shopify store requires its own Sunforce installation
• You must not share access credentials or allow unauthorised access to your account

4. Subscription Plans & Billing

• Sunforce offers Free, Pro ($29/month), and Pro+ ($79/month) plans
• Paid subscriptions are billed immediately upon subscription through Shopify's billing system
• Charges appear on your Shopify invoice
• You may cancel or change your plan at any time through your Shopify admin
• No refunds are provided for partial billing periods, consistent with Shopify's billing policies
• We reserve the right to change pricing with 30 days' notice

5. Acceptable Use

You agree not to:

• Use the Service for illegal purposes or to process illegal transactions
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Use automated tools to scrape, overload, or interfere with the Service
• Share your access with unauthorised third parties
• Rely on the Service as your sole source of tax, legal, or compliance advice
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to our systems or other users' data

6. AI-Generated Content

Sun's responses are generated by artificial intelligence based on your store data. While we strive for accuracy:

• AI outputs are informational only and should not replace professional financial, tax, or legal advice
• Calculations depend on the completeness and accuracy of your store data and cost inputs
• We do not guarantee that AI-generated financial projections, scenarios, or recommendations will be accurate
• You are responsible for verifying critical financial decisions with a qualified professional
• AI responses may occasionally contain errors or inaccuracies

7. Intellectual Property

• The Service, including its design, code, features, and branding, is owned by Sunforce and protected by intellectual property laws
• You retain ownership of all your store data
• You grant us a limited licence to use your data solely to provide and improve the Service
• You may not copy, modify, distribute, or create derivative works of the Service

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all your store data. We use your data solely to provide and improve the Service, as described in our Privacy Policy.

9. Service Availability & Support

• We aim for high availability but do not guarantee uninterrupted service
• We may perform scheduled maintenance that temporarily affects availability
• We reserve the right to modify, suspend, or discontinue the Service with reasonable notice

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

11. Limitation of Liability

To the maximum extent permitted by law, Sunforce shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service.

Our total aggregate liability for any claims arising from or relating to these Terms or your use of the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim, or £100, whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless Sunforce from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

• You may terminate by uninstalling Sunforce from your Shopify store at any time
• We may suspend or terminate your access if you violate these Terms
• We may terminate the Service entirely with 30 days' notice
• Upon termination, your data will be handled as described in our Privacy Policy
• Sections 6, 7, 10, 11, 12, and 15 survive termination

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the app or via email with at least 14 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you should discontinue use of the Service.

15. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer residing in the European Union, you may also be entitled to bring proceedings in your country of residence. Nothing in these Terms affects your statutory rights as a consumer.

16. General

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sunforce
• Severability: If any provision is found invalid, the remaining provisions remain in effect
• Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent; we may assign them freely
